Connecting industry to natural gas.

Vekta Midstream Limited proposes to develop, own, operate and maintain a dedicated natural gas distribution system serving the Tema Industrial Enclave — an established industrial corridor in the Greater Accra Region with a concentration of thermal-energy demand within a compact geographic footprint.

The Project is conceived to support the private-sector participation in downstream natural gas infrastructure contemplated by the Ministry of Energy and Green Transition and the Energy Commission.

The licensed activity for which we seek authorisation is the conveyance of natural gas through proprietary pipeline infrastructure from the network entry point through medium- and low-pressure distribution mains to delivery points at industrial customer premises, together with the ancillary activities that attach inseparably to the ownership and operation of a natural gas distribution network.

Infrastructure Scope

What we will build, own and operate.

The Project's Total Capital Expenditure envelope, to be sized definitively through the FEED and detailed-engineering phase, is scoped to cover the following infrastructure components.

High-Pressure Main

The supply pipeline from the network entry point conveying natural gas to the in-Enclave distribution network.

Distribution Mains

Medium- and low-pressure distribution pipelines routing gas through the Enclave to customer connection points.

C

Customer Skids

Customer regulation and metering skids at each foundation off-taker, including secondary pressure regulation and custody-transfer measurement.

D

Cathodic Protection

Impressed-current cathodic protection system with remote potential and current monitoring on the high-pressure pipeline.

E

SCADA & Control

SCADA master station at the operations base with redundant RTUs along the high-pressure main, at the network entry point and at each customer skid.

F

Safety Systems

Leak detection, emergency shutdown logic, fire and gas detection at the network entry point and other manned facilities, with redundant communications bearer.

Licensing Pathway

Four stages to commercial operations.

The Project is being developed through the four-stage licensing sequence prescribed by the Energy Commission of Ghana under the Licence and Permit Application Manual for Service Providers in the Natural Gas Supply Industry.

Stage 1 — Project Registration

Acquisition of the Project Registration Certificate. Current stage. Public notice and Commission review follow the filing.

Stage 2 — Siting Clearance

Acquisition of the Siting Permit. Site analysis, EPA scoping, initial Lands Commission search and bathymetric/geological inputs.

Stage 3 — Authorisation to Construct

Acquisition of the Natural Gas Distribution Licence. EPC contract, FEED, HAZID/HAZOP, EPA permit, building permit and committed financing.

Stage 4 — Operations Approval

Approval to commence commercial operations. As-built drawings, commissioning test report, network connection and gas distribution service agreements.

Funding Approach

Defined sponsor plan, structured project financing.

The funding strategy at the Stage 1 and Stage 2 levels is anchored on a defined sponsor funding plan comprising founder equity, shareholder loans and supplementary sponsor support arrangements appropriate to the pre-construction development workstream.

Project-level financing — including, as appropriate, senior debt, equity contributions from incoming strategic and financial partners, and refinancing of the operational asset — will be structured in support of the Stage 3 (Authorisation to Construct) and Stage 4 (Operations Approval) milestones.

Note on Financial Disclosure

The firm Total Capital Expenditure figure derived from the completed FEED, together with detailed financial capability evidence — including audited sponsor balance sheets, executed term sheets and committed funding documentation — will be provided at Stage 3 (Authorisation to Construct), consistent with the staged licensing sequence and the provisional-licence mechanism in the Commission's Application Manual.
